I. Introductory Clauses
Welcome to jointly sign the "User Agreement" (hereinafter referred to as "this Agreement") with us and use our platform.
Before clicking to agree to this Agreement during the registration process, you should carefully read this Agreement. Please be sure to read and fully understand all terms, especially clauses that exempt or limit liability, and clauses on applicable law and dispute resolution. Clauses that exempt or limit liability will be indicated in bold. If you have any questions, you may consult our platform's customer service.
When you fill in information according to the registration prompts, read and agree to this Agreement, and complete the entire registration process, it indicates that you have fully read, understood and accepted all contents of this Agreement, reached an agreement with us, and become a "user" of our platform. If you do not agree to this Agreement or any clause therein, you should immediately stop the registration process. If you access and/or use our platform website, it shall be deemed as your agreement to accept all contents of this Agreement; otherwise, please do not access or use our platform.
II. Definitions
Our Platform: Refers to our platform website (domain: https://duckpte.cn/) and related clients (including but not limited to DuckPTE Apps for iOS and Android, and other related clients we launch from time to time).
We: A singular or collective reference to the operators of our platform, referring to Sichuan Zhangyu Classroom Technology Co., Ltd. and its affiliates.
Our Platform Services: Various services we provide to you based on the internet, including our platform website, client and other forms (including new service forms that emerge with future technological development).
Our Platform Rules: Includes all rules, interpretations, announcements, etc. already published and subsequently published on all our platform websites, as well as various rules, implementation details, product descriptions, and announcements published by each platform on channels, activity pages, help centers, etc.
III. Account Registration and Use
User Eligibility
You confirm that before using/registering to use our platform services, you should possess civil capacity under the laws of the People's Republic of China appropriate to your actions. If you do not have such civil capacity, you and your guardian shall bear all consequences in accordance with the law.
Special Reminder: If you are a minor, please access and/or use our platform under the consent and guidance of your guardian.
Account Description
When you fill in information, read and agree to this Agreement, and complete the entire registration process, you will obtain our platform account and become a platform user.
You are entitled to log in to our platform using the member name you set or confirmed (hereinafter referred to as the "Account Name") and the password you set (collectively referred to as the "Account").
Since user accounts are associated with user information, you may only transfer your account when expressly provided by law, by judicial decision, or with our consent and in compliance with the account transfer procedures specified in our platform rules. Upon transfer, rights and obligations under the account are transferred together. Otherwise, your account may not be transferred in any way.
To use the various services of our platform, you are required to complete real-name verification in accordance with our platform's requirements and relevant laws and regulations.
If your account has not been actually used for any consecutive 365-day period, or has not been used for a consecutive 365-day period after expiry of a purchased service, we have the right to cancel or otherwise clean up the account. We will notify you through website announcements, in-site messages, client push notifications and other means before doing so.
Registration Information Management
(1) Truthfulness and Legality
When using our platform services, you should accurately and completely provide your information as prompted, including your name and phone number, so that we can contact you when necessary. You have the obligation to ensure the truthfulness and validity of the information you provide.
The account name you set must not violate national laws and regulations and our platform rules; otherwise, we may suspend use or cancel your account name.
You understand and promise that your account name, avatar and profile must not contain illegal or inappropriate information. You must comply with the seven basic principles of laws and regulations, the socialist system, national interests, citizens' lawful rights, public order, social ethics and information truthfulness during registration.
You agree and authorize us to, based on the mobile phone number you provide, initiate inquiries to reliable organizations such as the National Citizen ID Number Query Service Center, telecom carriers, and financial service institutions regarding your identity authenticity, credit records, and mobile phone number validity status.
(2) Updates and Maintenance
You should update the information you provide in a timely manner. We will check and verify your information in accordance with the law when required, and you should cooperate by providing the latest, true, accurate and complete information.
If we are unable to contact you using the information you last provided, if you fail to provide information in a timely manner as required, or if the information you provided is clearly inaccurate, you shall bear all resulting losses and adverse consequences.
Account Security Standards
Your account is set and kept by you. We strongly recommend that you keep your account secure and ensure that you log out and leave our platform through the correct steps at the end of each online session.
Losses caused by your active disclosure of the account or by attacks, fraud or other acts by others shall be borne by you. Your account is for your personal use only and may not be lent or shared. When your account is used without authorization, you should immediately notify us.
Except where we are at fault, you shall be responsible for all results of actions taken under your account (including but not limited to signing agreements online, publishing information, purchasing goods and services, and disclosing information).
If you discover any unauthorized use of your account or other situations that may lead to account theft or loss, we recommend that you immediately notify us. We are not liable for consequences that arise before action is taken, except where we are at fault.
IV. Our Service Content
Service Types
The specific content of our services is provided based on actual circumstances. You may choose an appropriate service package based on your needs; specific rules shall be subject to the relevant service agreements and/or content publicly disclosed on our platform.
Service Fees
Each service package has a different fee standard and includes different service content. We have the right to adjust service fees and content, effective through public announcement. The fee standard and content of the service package are subject to what is shown on our platform at the time of purchase. The purchased service package will be activated after you pay the full fee, except as otherwise agreed.
You understand that the fee you pay only covers the services purchased. Equipment (such as computers, mobile phones, modems) and associated costs (such as internet and telephone charges) are borne by you.
Membership Services
DuckPTE membership services are paid value-added services. You must fully agree to all of the following service terms and complete payment before enjoying the related services.
(1) General Provisions
DuckPTE is a platform created and operated by Sichuan Zhangyu Classroom Technology Co., Ltd.
DuckPTE users are registered users who have completed the full registration process, accepted the DuckPTE User Agreement, and use DuckPTE services under its relevant usage rules.
DuckPTE membership services are paid value-added services provided by the DuckPTE platform. Users may enjoy the services specially provided for members after paying the relevant fees.
(2) Service Fees
Standard rates are shown on the payment page. The DuckPTE platform will offer different discounts based on purchase method and duration; specific discount information is subject to the content on the member payment page. The service period is subject to the period you choose and pay for. You may also log in to the DuckPTE member payment center to view your service period.
The DuckPTE platform has the right to adjust fee standards at any time based on actual circumstances. Any adjustment will be publicly announced at least one month in advance and effective from the agreed date. Users who purchased services at the original rate before the agreed date will not be affected during the period purchased; users who pay after the agreed date shall pay according to the updated fee standard.
Members should confirm the updated service terms published by the DuckPTE platform during the announcement period. Regarding changes to service terms and fees, users have the right to choose to no longer continue using DuckPTE membership services, or to do nothing and continue using DuckPTE membership services, which shall be deemed acceptance of changes.
(3) Service Content
The DuckPTE platform will provide members with a variety of exclusive value-added membership services.
The DuckPTE platform has the right to adjust service content at any time based on actual circumstances.
(4) Activation and Termination of Service
You should complete real-name verification and pay through Apple In-App Purchase (IAP) / WeChat Pay / Alipay, and activate this service after paying the agreed fee. Once activated, this service cannot be transferred or cancelled. You may not activate this service for yourself or others in the following ways: for profit-making or non-personal use; through automated programs, bots or scripts; through improper means or in bad faith; through methods not designated by the DuckPTE platform; in a manner that infringes rights of others; through other means that violate laws or policies.
Service Period: The service period is subject to the period you choose and pay for. After expiry, DuckPTE platform will terminate membership value-added services. Unbinding or modifying the bound phone number during the valid period due to real-name verification requirements may result in termination of membership services. Renewal during the valid period will extend the valid period from the original expiry date.
(5) Rights and Obligations of Members
Members should ensure the authenticity of registration information. Members equally enjoy DuckPTE membership rights and should abide by all management plans of the DuckPTE platform. Members enjoy various value-added services during the paid valid period. Members may participate in platform activities on a priority basis and enjoy discounts and value-added services. Members have the right not to participate in any activities. Members bear legal responsibility for information published and disseminated on the platform and must comply with all laws and regulations of the People's Republic of China.
(6) Rights and Obligations of the DuckPTE Platform
The DuckPTE platform has the obligation to ensure smooth membership services. When a technical failure impedes membership services, the platform should eliminate the failure as soon as possible. Without member authorization, the platform may not publicly disclose, edit or reveal members' non-public content, except as required by law. The platform notifies members through DuckPTE system notifications, SMS, and email. The DuckPTE platform is not responsible for service interruptions caused by force majeure, but will do its best to reduce losses to members. If a user's account password is leaked due to their own reasons, the DuckPTE platform is not responsible, but has the right to take all measures to prevent third parties from operating the account. If a member intentionally damages the lawful rights of the platform, users or members, the platform has the right to revoke membership without compensation, and reserves the right to pursue legal liability. If a member violates the laws of the People's Republic of China, the platform has the right to revoke membership without compensation, and the offender shall bear full responsibility.
(7) Others
These service terms shall be governed by the laws of mainland China. Legal disputes arising from members' learning activities are unrelated to Sichuan Zhangyu Classroom Technology Co., Ltd. The DuckPTE platform may continuously improve these terms. All DuckPTE members must complete the membership registration process and agree to all contents of these terms.
V. Service Usage Rules
Prohibited Content
You understand and guarantee that the content you upload, publish or transmit on our platform does not contain any of the following: opposition to the basic principles established by the Constitution; endangering national security or undermining national unity; harming national honor and interests or the public interest; inciting ethnic hatred or discrimination; undermining state religious policies or promoting cults and feudal superstitions; spreading rumors or disrupting social order; spreading obscenity, pornography, gambling, violence, murder, terrorism, or inciting crimes; insulting or slandering others; other content prohibited by law.
If your content violates laws or infringes upon third-party rights, you will bear all adverse consequences, including compensating us for all resulting losses.
User Obligations and Responsibilities
(1) You shall not: transfer, lend, sublicense or sell services without our consent; infringe upon our corporate reputation, trademarks or copyrights; interfere with our provision of services; use our services for profit-making or speculation; engage in criminal activities; insult or harass others; spy on or steal our trade secrets; violate public order or good morals; engage in other actions we deem inappropriate.
(2) You undertake to: comply with all laws, regulations, network protocols and conventions; not use our platform to create, reproduce, view or disseminate unlawful or harmful information; not delete, modify or add to data in our platform without permission; not intentionally create or spread computer viruses; comply with the seven basic principles of laws, regulation, the socialist system, national interests, citizens' rights, public order, social ethics and information truthfulness; comply with other acts required by law.
Service Standards
You may upload, publish or transmit content through our platform, but you need to bear the related legal responsibilities. Unless there is contrary evidence, we will regard you as the copyright owner of content you upload. Uploading content represents that you grant us a worldwide, permanent, irrevocable, royalty-free license to store, use, publish, reproduce, modify, adapt, translate, distribute and otherwise use such content, and to sublicense to third parties to use it in the same manner.
For your convenience in using other related services of ours and our affiliates, you authorize us to transmit relevant information to our affiliates and other related service providers. You understand that we cannot be responsible for the accuracy or legality of content and information from third-party sources, and you shall bear related risks from any use of such content on your own.
You agree that we may place commercial advertisements in various ways and send you promotional information through email, SMS, website announcements or other methods.
You agree to comply with the Cybersecurity Law, Copyright Law, Computer Information System Security Protection Regulations, Regulations on the Protection of the Right to Disseminate Information on Networks, and other relevant laws and regulations. Once we reasonably believe your actions may violate these laws, we may terminate providing services to you without prior notice.
VI. Third-Party Links
Our platform services may contain links to other websites or resources. We have no control over such websites and assume no responsibility. We recommend you carefully read their terms and privacy policies before leaving our platform.
VII. Intellectual Property
Unless otherwise agreed, all content, technology, software, programs, data and other information within our platform, and all intellectual property rights (including but not limited to copyright, trademark rights, patent rights, trade secrets) and related rights, belong to us or our affiliates. No one may use them without our permission, except as otherwise provided by law.
The logos, graphics and combinations thereof of our platform, and other labels, badges, product and service names, are trademarks of us or our affiliates. Without our written authorization, no one may display, use or otherwise handle them.
We have full intellectual property rights over our proprietary, original and exclusively licensed content. Without our permission, no unit or individual may privately reproduce, transmit or provide viewing services, or otherwise infringe upon our intellectual property rights.
VIII. VIP Payment Instructions
Purchased VIP is associated with your DuckPTE account. Users need to bind a phone number and verify their identity when purchasing DuckPTE VIP.
VIP is a virtual product and does not support refunds after purchase. Please carefully read the service content and price information before purchasing.
When purchasing VIP, you must comply with the relevant payment rules and processes. After payment is complete, you will receive the corresponding VIP service permissions.
The payment process may involve third-party payment platform terms and privacy policies; please read and agree carefully before use.
After payment is complete, you will receive a payment confirmation and can view your VIP status in your personal account.
IX. User Breach and Handling
Determination of Breach
Any of the following shall be deemed a breach: violating relevant laws and regulations when using our platform services; violating the provisions of this Agreement (including as amended from time to time).
We may specify procedures and standards for determining breaches in our platform rules. You have the obligation to fully prove and reasonably explain any anomalies in your data, otherwise you will be deemed to be in breach.
Breach Handling Measures
If content you publish constitutes a breach, we may immediately delete, block or otherwise process the content, or suspend, seal or cancel your account. If your conduct constitutes a fundamental breach, we may seal your account and terminate services.
If your conduct violates relevant laws and regulations, we may report to the relevant competent authorities and submit your usage records.
Liability for Compensation
If your conduct causes losses to us and/or our affiliates, you shall compensate us for all losses including direct economic losses, reputational losses, and indirect losses such as compensation paid to third parties, attorney's fees, and litigation fees.
X. Service Termination
Circumstances for Termination
(1) You have the right to terminate this Agreement by: cancelling your account when meeting the conditions publicly announced by our platform; stopping use and expressly indicating unwillingness to accept changes before they take effect; expressly indicating unwillingness to continue using our services and meeting the termination conditions.
(2) We may terminate this Agreement when: you violate the provisions of this Agreement; you transfer your account, steal others' accounts, publish prohibited content, defraud others, or use improper means to profit; you repeatedly violate our platform rules; your registration data is false or non-existent; your account is cancelled by us; you infringe upon others' lawful rights or engage in other serious violations; you expressly indicate unwillingness to accept a new User Agreement when updated; force majeure makes it impossible to perform this Agreement; or in other circumstances where we should or need to terminate services.
Handling After Agreement Termination
After this Agreement is terminated, except as expressly provided by law, we are under no obligation to disclose any information in your account to you or any third party. After termination, we may stop collecting and using your personal information, but may continue to retain other content you have left on our platform; and for your past breaches, we may still hold you responsible pursuant to this Agreement.
XI. Scope of Liability
You clearly understand and agree that we shall not be liable for any damages caused by any of the following, including but not limited to loss of profits, goodwill, use, data or other intangible losses: any products or services we provide to you free of charge or as gifts; losses caused by leakage of your account or password; damage caused by network equipment maintenance, connection failures, system failures, hacker activities, computer viruses, power failures, strikes, fires, floods, storms, explosions, wars, government actions, judicial orders or third-party reasons; when we terminate services pursuant to Article 11.1.2 of this Agreement.
We disclaim all warranties of any kind and do not warrant that the service will meet your requirements or not be interrupted. You bear the risk and responsibility of system damage or data loss. In the event that our fault prevents you from enjoying services, our maximum liability shall be all fees you have actually paid.
XII. Privacy Protection Policy
Please refer to the Privacy Policy publicly disclosed on our platform.
XIII. Changes to the Agreement
We may modify this Agreement or our platform rules from time to time. The modified agreement and rules will be notified to you in the manner agreed in Article 13. If you disagree with the changed items, you should stop using our platform services as of their effective date; if you continue to use our services after they take effect, you shall be deemed to have agreed to them.
XIV. Notices
You agree that we may deliver all types of notices to you through the following means: publicly posted text; in-site messages, pop-up messages, and client push messages; emails, SMS messages, and written letters sent based on the contact information you have left on our platform.
XV. Law and Jurisdiction
The signing, execution, interpretation and dispute resolution of this Agreement shall be governed by current laws and regulations of the People's Republic of China. If any provision conflicts with such laws, those provisions shall be reinterpreted accordingly. If any provision is rendered invalid, it shall be deemed severable without affecting the remaining provisions.
Disputes arising from your use of our platform services shall be resolved through negotiation between us; if negotiation fails, either party may file a lawsuit with the People's Court of the jurisdiction where we are located.
This agreement takes effect on June 26, 2026.
